La successione delle imprese familiari alle generazioni successive e il diritto delle successioni a causa di morte in Europa: prospettive presenti e future (FAMSL)

Il passaggio generazionale delle imprese familiari è un tema di grande interesse nell’attualità, considerato che numerosissime imprese familiari nel mercato europeo si trovano ad affrontare tale delicato momento. La Commissione Europea ha sollecitato l’attenzione degli Stati Membri sulla questione sin dall’emanazione della Comunicazione del 1998 (98/C 93/02) e le ragioni per questo vivo interesse sono tuttora valide.
Il tema è di notevole importanza data l’alta percentuale di imprese familiari presenti nell’intera economia ed osservato che pochissime di queste sopravvivono oltre la prima generazione. La successione dell’impresa familiare non ha solo conseguenze economiche, ma interessa anche la forza lavoro delle imprese e quindi l’intera società civile.
Attualmente, le prassi manageriali e le norme di legge per affrontare le rilevanti implicazioni economiche e sociali della successione dell’impresa familiare sono ancora in fase di studio e sperimentazione. La ricerca in merito al passaggio nel governo dell’impresa si è concentrata principalmente sul trasferimento della leadership, sulla sua pianificazione e sull’identificazione delle caratteristiche dei soggetti in carica e dei relativi successori al fine di garantire una transizione graduale ed efficace, ma la complessità del fenomeno è lontana dall’essere completamente compresa.
Dal punto di vista giuridico, il dibattito verso la definizione di una normativa completa per la successione delle imprese familiari nei vari Paesi europei è pienamente aperto, nonostante alcune novità legislative introdotte negli ultimi anni. Allo stesso tempo, la successione mortis causa della persona fisica è ancora basata su principi fondamentali provenienti da un lontano passato.
Gli studi sociologici possono anche essere d’aiuto nello studio delle relazioni e delle dinamiche sociali proprie delle imprese familiari.

Handing over the family business to the next generation and the succession law in Europe: Present challenges and future perspectives. (FAMSL)

The transfer of the family business to the next generation is a topic that currently attracts great attention considering that a big number of family enterprises in the European market are interested by such a stage. The European Commission has stressed the attention on this issue since the issuance of the Communication of 1998 (98/C 93/02) and the reasons of this actual interest are still presently true.
The topic is of remarkable importance given the high percentage of the family firms in the whole economy and considering that very few family businesses survive beyond the first generation. Family firm succession has not only economic consequences but affects also the workforce of the enterprises and so the whole civil society.
Currently, managerial practices and the rules of law to deal with the economic and social importance of the family firm succession are not completely consolidated yet and still under investigation. Research on succession in management has mainly focused on leadership transfer, its planning and the identification of incumbent and successor attributes to ensure a smooth transition, leaving the complexity of the phenomenon far from being completely grasped.
From the law point of view the debate towards the definition of a proper regulations for family business succession in the various European countries is fully open notwithstanding some new regulations given in the past years. At the same time the person succession mortis causa is still based on fundamental principles of the distant past.
Sociology can help in the study of relationship and social dynamics which are specific of family firms.
